3PL Hub

These Terms of Service (“Terms”) govern your access to and use of 3PL Hub Inc. (“3PL Hub”, “we”, “us”, “our”) and our website at 3plhub.co, including our directory, matchmaking tools, forms, profiles, messaging, and related services (collectively, the “Service”). By using the Service, you agree to these Terms.

1) Acceptance of Terms

By accessing or using the Service in any way—including browsing listings, creating a member profile, submitting an intake form, or contacting other members—you agree to be bound by these Terms and any posted guidelines, policies, or rules we publish from time to time.

2) Changes to These Terms

We may update these Terms at any time. Changes take effect upon posting on this page. Your continued use of the Service after changes are posted constitutes acceptance.

3) Who May Use the Service

The Service is for eCommerce brands, retailers, and logistics professionals (including 3PLs/4PLs, carriers, and related providers). We may restrict or suspend access at our discretion, including for inaccurate profiles, non-compliance, or misuse.

4) Your Content & License to Us

You are solely responsible for any content you submit (“User Content”) such as listings, descriptions, pricing, logos, certifications, testimonials, images, messages, or documents. You represent and warrant you have all rights to upload and share such content.

• You grant 3PL Hub a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and promote User Content in connection with operating and improving the Service, including in marketing and communications.
• We may moderate, refuse, remove, or reformat User Content at our discretion (e.g., for accuracy, compliance, or quality).
• You retain ownership of your User Content. Nothing in these Terms transfers ownership to 3PL Hub.

5) Third-Party Sites & Deals

The Service may link to or embed third-party sites, tools, ads, or offers. We do not control or endorse third-party content and are not responsible for transactions, quality, or outcomes. Conduct your own due diligence before engaging with any provider or buyer.

6) Notice of IP Infringement

If you believe content on the Service infringes your intellectual property, send a notice to info@3plhub.co including:

• Description + exact URL(s) of the allegedly infringing material;
• Statement of good-faith belief that the use is unauthorized;
• Your name, address, telephone, and email;
• Statement that the information is accurate and you are authorized to act; and
• Your physical or electronic signature.

7) Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of information as described there.

8) Acceptable Use

You agree not to use the Service to:

• Upload illegal, harmful, deceptive, defamatory, pornographic, hateful, or discriminatory content;
• Impersonate others or misrepresent your affiliation;
• Post others’ personal information without consent;
• Infringe third-party rights (e.g., IP, privacy, publicity);
• Spam, scrape, harvest, or use automated means without written permission;
• Upload malware or interfere with performance;
• Circumvent access limits, rate limits, or authentication controls.

9) Posting Agents & Automation

Third-party services that post or manage content on your behalf (“Posting Agents”) require our prior written approval. Unapproved automation (bots, crawlers, bulk posting) is prohibited.

10) Communications & Anti-Spam

Unsolicited or deceptive communications to members are prohibited. You must comply with Canadian and U.S. anti-spam laws, including consent, identification, and unsubscribe requirements.

11) Fees & Subscriptions

• Some features (e.g., memberships, ads, enhanced listings) are paid. Prices may change with notice.
• Unless stated otherwise, fees are non-refundable (including removals for violations).
• You authorize recurring charges for subscription plans until you cancel.

12) Service Changes & Limits

We may modify, suspend, or discontinue any part of the Service at any time. We may set limits on storage, API calls, or posting volumes. We are not responsible for loss of data; please keep backups.

13) Access & Linking

We grant you a limited, revocable license to access the Service for its intended business purposes. Framing, scraping, copying, or re-publishing content without permission is prohibited. You may link to our homepage in a fair and non-misleading manner.

13A) No Scraping, Copying, or Automated Access

You must not access, extract, copy, or reuse any part of the Service (including our member directory, profiles, listings, reviews, pricing, tools, calculators, maps, datasets, or HTML/CSS/JS) by automated means or for the purpose of building, training, or improving datasets, models, directories, or competing services.

• Scraping, crawling, spidering, or harvesting (including headless browsers, bots, or scripts);
• Bulk downloading, replication, framing, or mirroring of data;
• Bypassing robots.txt, rate limits, authentication, or access controls;
• Collecting or indexing member/company information for resale or model training;
• Reverse-engineering or reusing tools or code without permission.

Any access for monitoring (e.g., uptime checks) must be reasonable and not degrade performance. To request approved access, email info@3plhub.co.

14) Termination

We may suspend or terminate accounts or access for any reason (e.g., violations, risk, inactivity). You may stop using the Service at any time. Sections intended to survive termination do so (including IP, disclaimers, limitations, indemnities, and governing law).

15) Intellectual Property

• The Service, features, and design are owned by 3PL Hub or our licensors and protected by law.
• Our trademarks, logos, and branding may not be used without permission.
• If you provide feedback, we may use it without obligation.

15A) Content & Database Rights; No Reuse

The compilation and curation of listings, profiles, reviews, tools, and underlying datasets are proprietary databases and copyrighted works owned by 3PL Hub and its licensors. Except for normal interactive use, you must not copy, download, export, index, or create derivative works from any portion of the Service, including directory data and tool outputs, without written consent.

Use of any 3PL Hub content or data to build or enhance a competing directory, matching service, dataset, or model is strictly prohibited.

16) Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee matches, outcomes, revenue, cost savings, service levels, or availability.

16A) Enforcement & Remedies

We actively monitor misuse, including scraping and circumvention of technical measures. We may suspend or terminate access without notice and pursue all available remedies, including injunctive relief and monetary damages (covering investigation costs, expert fees, and legal fees) in the courts of Toronto, Ontario, Canada. Unauthorized copying or scraping constitutes a material breach causing irreparable harm.

17) Limitation of Liability

To the fullest extent permitted by law, 3PL Hub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits or data. Our total liability for any claim related to the Service shall not exceed CAD $25.

18) Indemnification

You will defend, indemnify, and hold harmless 3PL Hub and its affiliates, directors, officers, employees, and agents from any claims, losses, liabilities, costs, and expenses (including legal fees) arising from your User Content, use of the Service, breach of these Terms, or violation of others’ rights.

19) Governing Law & Jurisdiction

These Terms are governed by the laws of Ontario, Canada. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for all disputes arising out of or relating to these Terms or the Service.

20) Violations

Report violations to info@3plhub.co. Our decision not to enforce a term is not a waiver of rights.

21) Programs & Matchmaking Terms

• Brands: You are responsible for accuracy of your requirements and decisions based on tool outputs or proposals.
• 3PLs/Providers: You are responsible for accuracy of profiles, pricing, SLAs, and compliance with laws and retailer rules.
• 3PL Hub is not a party to contracts between Brands and Providers.
• We may remove or adjust listings that are misleading or non-compliant.

22) Brand Content Agreement

• You grant 3PL Hub a license to display your logo, images, and public business information on 3plhub.co and our channels.
• You warrant you own or have rights to submitted materials and that they are accurate and lawful.
• Memberships renew until canceled; failed payments may pause or remove a listing.
• You may cancel any time; termination is effective at the end of the billing period.

23) General

• These Terms and referenced policies form the entire agreement between you and 3PL Hub.
• If a term is unenforceable, the rest remain in effect, and the invalid term will be replaced with one closest to the intended meaning.
• You may not assign these Terms without our consent. We may assign them in connection with a merger or asset transfer.
